1. These terms
These terms apply to all invoices issued by JBH Media Limited ("we", "us") and to the work they cover. They sit alongside our website Terms & Conditions. Where the two differ in relation to paid project work, these terms take precedence. Anything agreed separately in writing between us and the client takes precedence over both.
2. Scope of work
The scope, deliverables, and price for each project are as set out in the written quotation or proposal accepted by the client. Work outside that scope, including additional pages, features, content rewrites, or changes requested after a stage has been signed off, will be quoted separately and is chargeable in addition.
3. Payment schedule
A deposit of 20% of the total project price is payable before work begins. The remaining balance is payable in stages as agreed in writing between the parties for each project.
Each invoice, including the deposit invoice, is due within 14 days of the invoice date unless a different period is stated on the invoice itself.
Payment is by bank transfer to the account shown on the invoice. All prices are in pounds sterling and exclude VAT where applicable.
4. Late payment
We reserve the right to charge statutory interest and compensation on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998. That is interest at 8% above the Bank of England base rate, calculated daily from the due date until payment is received, together with the fixed compensation sum the Act allows.
Where an invoice remains unpaid after its due date we may also suspend work, withhold delivery of outstanding files, and decline to publish or transfer the site until the account is settled. Any timeline agreed for the project is extended accordingly.
This section applies to clients contracting in the course of a business. Nothing in these terms affects the statutory rights of a client contracting as a consumer.
5. Client materials and delays
The client is responsible for supplying content, images, logos, access credentials, and approvals within the timescales agreed. The client confirms they own, or hold the necessary rights to, all material supplied to us and that its use will not infringe the rights of any third party.
Where a project is delayed for more than 30 days by circumstances outside our control, including materials or approvals not being provided, we may invoice for all work completed to that point and reschedule the remainder subject to availability.
6. Ownership and intellectual property
On receipt of payment in full of all invoices for a project, ownership of the final website design and the bespoke code written specifically for that project transfers to the client. Until final payment is received, all rights in the work remain with JBH Media Limited.
We retain ownership of our own pre-existing tools, frameworks, components, libraries, and techniques used in the course of the work, and of anything we develop that is general in nature and not specific to the client's project. Where these form part of the delivered site, the client is granted a perpetual, non-exclusive licence to use them as part of that site.
Third-party components, fonts, plugins, and stock imagery remain subject to their own licences, which pass to the client on the terms set by their owners.
Unless the client asks otherwise in writing, we may reference the project and display screenshots of the delivered work in our portfolio and marketing.
7. Hosting, domains, and third-party services
Hosting, domain registration, email, and other third-party services are agreed on a per-project basis and are separate from design and development fees.
Where these accounts are held in the client's name, the client is responsible for renewals, charges, and keeping payment details current. Where we hold them on the client's behalf, the associated costs are recharged to the client and the service continues only while those charges are paid. We will transfer or hand over any account held on the client's behalf on request, subject to all invoices being settled.
We are not responsible for the availability, performance, pricing, or terms of third-party providers.
8. Support and maintenance
Ongoing support, maintenance, content updates, and hosting management are not included in a website build unless expressly stated in writing. Support arrangements are charged separately, either at our hourly rate or under a support agreement.
Support or maintenance fees are not refundable once a service period has begun.
9. Cancellation
If a project is cancelled by the client, the deposit is non-refundable once work has commenced, and we may invoice for all work completed up to the date of cancellation. Completed stages of work are chargeable and non-refundable.
Refunds, where applicable, are limited to fees paid in advance for work not yet started.
We may decline or discontinue work where these terms are breached, where communication becomes abusive or unreasonable, or where legal or ethical concerns arise. In that event the client is invoiced for work completed to that date.
Nothing in this section affects the client's statutory rights under UK consumer law where they apply.
10. Liability
We take reasonable care and skill in carrying out our work. We do not warrant that any website will be uninterrupted, error-free, or free from every security vulnerability, or that it will achieve any particular search ranking, traffic level, or commercial result.
Our total liability in connection with a project is limited to the total fees paid by the client for that project. We are not liable for indirect or consequential loss, or for loss of profit, revenue, data, or business.
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
11. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
